PLEASE READ THESE TERMS OF SERVICE ("AGREEMENT" OR "TERMS") CAREFULLY BEFORE ACCESSING OR USING THE ROOMSNAP PLATFORM, WEBSITE, MOBILE APPLICATION, OR ANY RELATED SERVICES (COLLECTIVELY, THE "SERVICE"). BY ACCESSING OR USING THE SERVICE IN ANY MANNER, YOU ("USER," "YOU," OR "YOUR") ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS AND ALL POLICIES INCORPORATED HEREIN BY REFERENCE, INCLUDING THE PRIVACY POLICY. IF YOU DO NOT AGREE TO THESE TERMS IN THEIR ENTIRETY, YOU MUST IMMEDIATELY CEASE ALL USE OF THE SERVICE.
These Terms constitute a legally binding agreement between you and RoomSnap LLC, an Oklahoma limited liability company ("RoomSnap," "Company," "we," "us," or "our"), its members, managers, officers, employees, agents, affiliates, successors, assigns, licensors, service providers, investors, and all related parties (collectively, "RoomSnap Parties").
RoomSnap is a software-as-a-service ("SaaS") platform designed to assist homeowners, homebuilders, and related parties in organizing, tracking, and sharing finish selections, product options, and related information during the home construction and renovation process. The Service includes, without limitation, project dashboards, room and category management tools, product selection tracking, image storage, PDF export functionality, and collaboration and sharing features.
THE SERVICE IS PROVIDED SOLELY AS AN ORGANIZATIONAL AND INFORMATIONAL TOOL. ROOMSNAP IS NOT A LICENSED CONTRACTOR, BUILDER, ARCHITECT, INTERIOR DESIGNER, FINANCIAL ADVISOR, OR LEGAL ADVISOR. NOTHING IN THE SERVICE CONSTITUTES PROFESSIONAL ADVICE OF ANY KIND. ALL DECISIONS MADE IN CONNECTION WITH YOUR HOME BUILD OR RENOVATION PROJECT ARE SOLELY YOUR OWN RESPONSIBILITY.
You must be at least eighteen (18) years of age and have the legal capacity to enter into a binding contract under applicable law to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" shall include both you individually and such entity.
To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary to keep it accurate. You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify RoomSnap immediately of any unauthorized use of your account or any other breach of security. RoomSnap shall not be liable for any loss or damage arising from your failure to comply with this section.
RoomSnap reserves the right to terminate or suspend your account at any time, with or without notice, for any reason or no reason, including but not limited to violation of these Terms, suspected fraudulent activity, or inactivity.
Certain features of the Service require a paid subscription. Subscription fees are billed in advance on a recurring basis (monthly or annual) as selected at the time of purchase. All fees are stated in U.S. dollars and are non-refundable except as expressly set forth in these Terms or as required by applicable law. RoomSnap reserves the right to change subscription pricing at any time upon notice to you. Continued use of the Service after a price change constitutes your acceptance of the new pricing.
Payment processing is handled by a third-party payment processor (currently Stripe, Inc.). RoomSnap does not store your full payment card information. By providing payment information, you authorize RoomSnap and its payment processor to charge the applicable fees. You are responsible for all applicable taxes. If payment fails, RoomSnap may suspend or terminate your access to paid features.
ROOMSNAP PROVIDES NO REFUNDS FOR PARTIAL SUBSCRIPTION PERIODS, UNUSED FEATURES, OR DISSATISFACTION WITH THE SERVICE, EXCEPT AS REQUIRED BY APPLICABLE LAW OR AS EXPRESSLY STATED IN A SEPARATE WRITTEN AGREEMENT SIGNED BY AN AUTHORIZED OFFICER OF ROOMSNAP LLC.
"User Content" means any data, text, images, files, notes, product information, prices, links, or other materials that you upload, submit, store, or transmit through the Service. You retain all ownership rights in your User Content. By submitting User Content, you grant RoomSnap a non-exclusive, worldwide, royalty-free, sublicensable license to use, reproduce, store, display, and transmit your User Content solely to the extent necessary to provide and improve the Service.
You are solely responsible for your User Content and the consequences of submitting it. You represent and warrant that: (a) you own or have the necessary rights to submit your User Content; (b) your User Content does not infringe any third-party intellectual property, privacy, or other rights; and (c) your User Content does not violate any applicable law or these Terms.
ROOMSNAP DOES NOT VERIFY, ENDORSE, OR TAKE RESPONSIBILITY FOR THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY USER CONTENT, INCLUDING BUT NOT LIMITED TO PRODUCT PRICES, SPECIFICATIONS, AVAILABILITY, OR CONTRACTOR INFORMATION. ANY RELIANCE ON USER CONTENT IS AT YOUR SOLE RISK.
The Service may allow you to record, link to, or reference third-party products, services, websites, or pricing information. RoomSnap does not endorse, control, or guarantee the accuracy, availability, quality, or pricing of any third-party products or services referenced within the Service. Product prices, specifications, and availability are subject to change by third-party vendors at any time without notice to RoomSnap or to you. Any discrepancy between pricing recorded in the Service and actual vendor pricing is solely your responsibility to verify.
ROOMSNAP PARTIES SHALL HAVE NO LIABILITY WHATSOEVER FOR ANY LOSS, DAMAGE, OR DISPUTE ARISING FROM YOUR RELIANCE ON THIRD-PARTY PRODUCT INFORMATION, PRICES, OR LINKS STORED OR DISPLAYED WITHIN THE SERVICE.
RoomSnap is not a party to any agreement, contract, or relationship between you and any builder, general contractor, subcontractor, architect, designer, or other construction professional ("Builder"). The Service may be used to share project information with Builders, but RoomSnap has no control over, and expressly disclaims all responsibility for, the actions, omissions, performance, or decisions of any Builder.
WITHOUT LIMITING THE FOREGOING, ROOMSNAP PARTIES SHALL HAVE NO LIABILITY FOR: (A) ANY BUILDER'S FAILURE TO REVIEW, ACKNOWLEDGE, OR ACT UPON INFORMATION SHARED THROUGH THE SERVICE; (B) ANY CONSTRUCTION DEFECT, DELAY, COST OVERRUN, OR DISPUTE ARISING FROM OR RELATED TO YOUR HOME BUILD OR RENOVATION PROJECT; (C) ANY DISCREPANCY BETWEEN SELECTIONS RECORDED IN THE SERVICE AND ACTUAL MATERIALS INSTALLED BY A BUILDER; OR (D) ANY FINANCIAL LOSS, PROPERTY DAMAGE, PERSONAL INJURY, OR OTHER HARM ARISING FROM YOUR BUILDER RELATIONSHIP, REGARDLESS OF WHETHER ROOMSNAP WAS ADVISED OF THE POSSIBILITY OF SUCH HARM.
The Service may incorporate artificial intelligence, machine learning, or automated features that generate suggestions, summaries, descriptions, or other content ("AI Content"). AI Content is provided for informational and organizational purposes only. RoomSnap does not warrant the accuracy, completeness, or fitness for any particular purpose of any AI Content. AI Content may contain errors, omissions, or outdated information.
ROOMSNAP PARTIES SHALL HAVE NO LIABILITY FOR ANY DECISION MADE, ACTION TAKEN, OR HARM SUFFERED IN RELIANCE ON AI CONTENT. YOU ACKNOWLEDGE THAT AI SYSTEMS ARE IMPERFECT AND THAT YOU ARE SOLELY RESPONSIBLE FOR INDEPENDENTLY VERIFYING ANY AI-GENERATED INFORMATION BEFORE RELYING ON IT.
While RoomSnap employs commercially reasonable measures to protect and back up User Content, RoomSnap does not guarantee that User Content will not be lost, corrupted, or permanently deleted. You are solely responsible for maintaining independent backup copies of all important data, selections, images, and other information you store in the Service.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. ROOMSNAP DOES NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. ROOMSNAP PARTIES SHALL HAVE NO LIABILITY FOR ANY DATA LOSS, SERVICE INTERRUPTION, DOWNTIME, OR INABILITY TO ACCESS THE SERVICE, REGARDLESS OF CAUSE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE ROOMSNAP PARTIES EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO: (A) ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT; (B) ANY WARRANTY THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (C) ANY WARRANTY REGARDING THE ACCURACY, RELIABILITY, TIMELINESS, OR COMPLETENESS OF ANY CONTENT OR INFORMATION PROVIDED THROUGH THE SERVICE; AND (D) ANY WARRANTY ARISING FROM COURSE OF DEALING, USAGE OF TRADE, OR COURSE OF PERFORMANCE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES. IN SUCH JURISDICTIONS, THE FOREGOING EXCLUSIONS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ANY ROOMSNAP PARTY BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, COST OF SUBSTITUTE SERVICES, PROPERTY DAMAGE, PERSONAL INJURY, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF A ROOMSNAP PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL THE TOTAL AGGREGATE LIABILITY OF THE ROOMSNAP PARTIES TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO ROOMSNAP IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100.00).
THE LIMITATIONS OF LIABILITY IN THIS SECTION APPLY REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED, INCLUDING CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, AND SHALL APPLY EVEN IF THE LIMITED REMEDIES PROVIDED HEREIN FAIL OF THEIR ESSENTIAL PURPOSE.
You agree to defend, indemnify, and hold harmless the RoomSnap Parties from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or access to the Service; (b) your User Content; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; (e) your relationship with any Builder or third party; or (f) any dispute between you and any third party, including any Builder, contractor, or product vendor. RoomSnap reserves the right, at its own expense, to assume exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with RoomSnap's defense of such claims.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND YOUR RIGHT TO A JURY TRIAL.
13.1 Informal Resolution. Before initiating any formal dispute proceeding, you agree to first contact RoomSnap and attempt to resolve the dispute informally by providing written notice describing the nature of the dispute and the relief sought. RoomSnap will attempt to resolve the dispute within thirty (30) days of receiving such notice.
13.2 Binding Arbitration. If the dispute is not resolved informally, you and RoomSnap agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be finally resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted in Oklahoma City, Oklahoma, or at your election by telephone or video conference. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.
13.3 Class Action Waiver. YOU AND ROOMSNAP EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU EXPRESSLY WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. IF THIS WAIVER IS FOUND TO BE UNENFORCEABLE, THEN THE ENTIRETY OF THIS ARBITRATION AGREEMENT SHALL BE NULL AND VOID.
13.4 Exceptions. Either party may seek emergency injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm pending arbitration, and claims for intellectual property infringement may be brought in court.
13.5 Time Limitation. ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE MUST BE FILED WITHIN ONE (1) YEAR AFTER THE CLAIM AROSE, OR IT IS PERMANENTLY BARRED.
These Terms and any dispute arising out of or related to them or the Service shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict of law principles. To the extent any matter is not subject to arbitration under Section 13, the exclusive jurisdiction and venue for such matter shall be the state and federal courts located in Oklahoma County, Oklahoma, and you hereby irrevocably consent to the personal jurisdiction of such courts.
The Service and all content, features, and functionality thereof — including but not limited to software, text, graphics, logos, icons, images, audio clips, and the compilation thereof — are owned by RoomSnap LLC or its licensors and are protected by U.S. and international copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial purposes in accordance with these Terms. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any portion of the Service without the prior written consent of RoomSnap.
You agree not to:
RoomSnap may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Service will immediately cease. Sections 5, 7, 8, 9, 10, 11, 12, 13, 14, 15, and 18 shall survive any termination of these Terms.
Upon termination of your account, RoomSnap may, but is not obligated to, retain or delete your User Content. You are responsible for exporting any data you wish to retain prior to account termination. ROOMSNAP SHALL HAVE NO LIABILITY FOR ANY DATA LOSS RESULTING FROM ACCOUNT TERMINATION.
RoomSnap reserves the right to modify these Terms at any time in its sole discretion. If we make material changes, we will provide notice by updating the "Last Updated" date at the top of this page and, where appropriate, by sending an email notification or displaying a notice within the Service. Your continued use of the Service after the effective date of any modification constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must cease using the Service.
Entire Agreement. These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and RoomSnap with respect to the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.
Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.
Waiver. No failure or delay by RoomSnap in exercising any right or remedy under these Terms shall constitute a waiver of that right or remedy.
Assignment. You may not assign or transfer these Terms or any rights or obligations hereunder without RoomSnap's prior written consent. RoomSnap may freely assign these Terms, including in connection with a merger, acquisition, or sale of assets, without restriction.
Force Majeure. RoomSnap shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet outages, or government actions.
No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights.
